These Terms of Service (“Terms”) govern your use of the Nudge website, web app and mobile apps (the “Service”). By using the Service, you agree to these Terms.

1. Acceptance

If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Nudge helps groups coordinate tasks and responsibilities across a shared space. We may modify features, add new features, or discontinue parts of the Service.

3. Your account

• You are responsible for keeping your login credentials secure.
• You must provide accurate information and keep it up to date.
• You are responsible for activity on your account, unless caused by our breach.

4. Subscriptions and payment

4.1 Trials

Some plans include a free trial. Unless you cancel before the trial ends, your paid subscription will start at the end of the trial.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe. We do not store your card details.

4.3 Cancellation

You can cancel anytime from your account settings (or by contacting support). Cancellation stops renewal; you keep access until the end of the current billing period.

4.4 Price changes

We may change prices from time to time. If a price change affects your current subscription, we will provide reasonable notice before it takes effect.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful or fraudulent purposes
• Attempt to access systems or data you are not authorized to access
• Disrupt or interfere with the Service (including abuse of rate limits)
• Reverse engineer, copy, or resell the Service except as permitted by law

6. Your content

You retain ownership of content you provide (e.g. task names, notes and attachments). You grant us a limited license to host, process and display your content solely to provide the Service.

7. Intellectual property

The Service, including software, branding and design, is owned by us and protected by intellectual property laws. These Terms do not grant you rights to our trademarks or brand assets.

8. Privacy

Our processing of personal data is described in our Privacy Policy. By using the Service, you acknowledge that policy.

9. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.

Our total liability for any claim arising out of or relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or €100, whichever is higher, except where liability cannot be limited under Dutch law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service and other users.

11. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Disputes are subject to the competent courts in the Netherlands.

If you are a consumer in the EU, you may also access the EU Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

12. Changes

We may update these Terms. We will post the updated version on this page and adjust the “Updated” date.
